EEPL Classroom Franchise Terms and Conditions

1. Introduction:

1.1 These Terms and Conditions ("Terms") govern the relationship between Emancipation Edutech Private Limited, operating under the brand EEPL Classroom ("EEPL Classroom," "we," "us," or "our"), and individuals or entities ("franchisee," "you," or "your") expressing interest in acquiring a franchise from EEPL Classroom.

1.2 By expressing interest in acquiring a franchise from EEPL Classroom, you agree to be bound by these Terms. These Terms supersede any prior agreements or arrangements between the parties.

2. Franchise Opportunity:

1. EEPL Classroom offers a franchise opportunity for individuals or entities interested in providing computer courses under the EEPL Classroom brand.
2. The franchise opportunity includes access to EEPL Classroom's curriculum, marketing support, and other resources, subject to the terms outlined herein.

3. Franchise Cost and Setup:

1. There is no upfront fee for acquiring a franchise from EEPL Classroom.
2. Franchisees may choose to set up the Online Test Series Portal at their discretion, subject to a one-time setup fee of ₹10,000. Offers or discounts may apply, and franchisees are eligible to earn commissions on sales of the test series.

4. NIELIT Courses:

1. Franchisees may register NIELIT courses with EEPL Classroom by providing student details. Examination centers are limited to EEPL Classroom centers or the NIELIT Head Office in Ranchi.

5. Digital Platforms Setup:

1. EEPL Classroom will provide assistance in setting up digital platforms, including but not limited to Facebook Pages, Instagram Pages, custom pages on our website, and Google My Business setup.

6. Registrations and Recognitions:

1. All registrations and recognitions, including ISO 9001:2015 certification, StartupIndia recognition, MSME registration, and others, belong solely to EEPL Classroom and may not be used under the franchisee's institute name or personal name.

7. Paid Services:

1. Lead Generation Support and Marketing Support services are available as paid services to franchisees.
2. Online Certificate verification is provided free of charge for the lifetime of the certificate. Printed or hard copies of certificates will incur a fee.

8. Cancellation and Termination:

1. EEPL Classroom reserves the right to terminate the franchise agreement at any time, with or without cause, upon written notice to the franchisee. In the event of termination, all rights and privileges granted to the franchisee shall cease immediately.
2. In the event of termination, Franchisee shall immediately cease all use of Company's intellectual property and return any materials or equipment provided by Company.

9. Sub Admin Account:

1. Franchisees may be provided with a Sub Admin Account to manage certain aspects of the franchise operation, subject to the terms and conditions set forth by EEPL Classroom.

10. Misuse of Portal:

1. Franchisees agree not to misuse the Online Test Series Portal or any other digital platforms provided by EEPL Classroom, and to adhere to the terms of use and guidelines provided by EEPL Classroom.

11. Commission Structure:

1. Details of the commission structure, including rates and payment terms, shall be provided separately by EEPL Classroom and incorporated into the franchise agreement.

12. Responsibilities:

1. Franchisees are responsible for operating the franchise in accordance with the standards and guidelines set forth by EEPL Classroom, including but not limited to curriculum delivery, customer service, and marketing.

13. Intellectual Property:

1. All intellectual property rights, including but not limited to trademarks, copyrights, and proprietary materials, belong solely to EEPL Classroom and may not be used or reproduced without prior written consent.

14. Modification of Terms:

1. EEPL Classroom reserves the right to modify or amend this Agreement at any time, with or without notice to Franchisee.
2. Franchisee's continued use of the Sub Admin Account following any such modification constitutes acceptance of the modified terms.

15. General Provisions:

1. These Terms constitute the entire agreement between the parties with respect to the franchise opportunity and supersede all prior agreements and understandings, whether written or oral.
2. Any amendments or modifications to these Terms must be made in writing and signed by both parties.

16. Severability:

1. If any provision of these Terms is determined to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions shall remain in full force and effect to the fullest extent permitted by law.

17. Waiver:

1. The failure of either party to enforce any provision of these Terms shall not be construed as a waiver of such provision or the right to enforce it at a later time, nor shall any single or partial exercise of any right or remedy under these Terms preclude any other or further exercise thereof or the exercise of any other right or remedy.

18. Governing Law and Jurisdiction:

1. These Terms shall be governed by and construed in accordance with the laws of the Republic of India. Any dispute arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of Ranchi, Jharkhand, India.
